Terms of Service
Welcome to CutFlow Productions ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our video editing and production services, website, and related offerings. By engaging with our services, you ("Client," "you," or "your") agree to be bound by these Terms in their entirety.
Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use our services.
1. Acceptance of Terms
By submitting a project request, signing a contract, making a payment, or otherwise engaging with CutFlow Productions, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to our website. Your continued use of our services following any changes constitutes acceptance of those changes.
2. Services Provided
CutFlow Productions offers professional video editing and production services, including but not limited to:
- Social media video editing (short-form content)
- YouTube and long-form video editing
- Podcast editing (audio and video)
- Commercial and corporate video editing
- Motion graphics and visual enhancements
- Color grading, sound design, and post-production services
All services are provided on a project-by-project basis or through subscription agreements, as specified in your contract or service agreement.
3. Client Responsibilities
3.1 Asset Delivery
Clients are responsible for providing all necessary raw footage, audio files, graphics, logos, scripts, and other assets required for project completion. Assets must be delivered in a timely manner and in formats compatible with industry-standard editing software.
3.2 Licensing and Rights
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any materials you provide to us, including but not limited to music, images, logos, and video footage. You agree to indemnify and hold CutFlow Productions harmless from any claims arising from your use of unlicensed or unauthorized materials.
3.3 Feedback and Revisions
Clients must provide clear, consolidated feedback within the timeframes specified in the project agreement. Failure to provide timely feedback may result in project delays or additional fees.
4. Payment Terms
4.1 Pricing
All pricing is provided in writing via proposal, contract, or invoice. Prices are subject to change based on project scope, complexity, and revision requests beyond the agreed-upon terms.
4.2 Payment Schedule
Payment terms vary by project and are outlined in your service agreement. Standard terms include:
- 50% deposit required before project commencement
- Remaining 50% due upon project completion and before final file delivery
- Subscription clients are billed monthly in advance
4.3 Late Payments
Invoices not paid within the specified timeframe may be subject to a late fee of 5% per month or the maximum amount permitted by law. We reserve the right to suspend services or withhold final deliverables until all outstanding payments are received.

5. Intellectual Property Rights
5.1 Ownership of Final Product
Upon full payment, the Client receives full ownership and rights to the final edited video(s) and any custom graphics or assets created specifically for the project. This includes the right to use, reproduce, distribute, and modify the work for commercial or personal purposes.
5.2 Ownership of Source Files
CutFlow Productions retains ownership of all project files, including but not limited to editing timelines, raw footage backups, and layered design files, unless otherwise agreed upon in writing. Source files may be provided for an additional fee upon request.
5.3 Portfolio and Promotional Use
Unless explicitly prohibited in writing, CutFlow Productions reserves the right to use completed projects in our portfolio, website, social media, case studies, and promotional materials. If confidentiality is required, this must be stated in writing before project commencement.
6. Revisions and Project Scope
6.1 Included Revisions
Each project includes a specific number of revision rounds as outlined in the service agreement (typically 2-3 rounds). Revisions must be requested within 14 days of receiving the draft.
6.2 Additional Revisions
Revision requests beyond the included amount, or requests made after the revision window has closed, will incur additional fees at our standard hourly rate or a flat fee as determined by the scope of changes.
6.3 Scope Changes
Any changes to the original project scope (e.g., additional footage, extended runtime, new graphics) will be treated as a separate project or billed additionally based on time and complexity.
7. Delivery and Timelines
7.1 Estimated Timelines
Project timelines are estimates based on the information provided at the time of agreement. Actual delivery times may vary depending on asset availability, revision requests, and workload.
7.2 Rush Orders
Rush delivery is available for an additional fee and must be requested at the time of project initiation. Rush timelines are subject to availability and cannot be guaranteed during peak periods.
7.3 Client Delays
Delays caused by late asset delivery, delayed feedback, or scope changes may extend the project timeline. We are not responsible for missed deadlines resulting from client-side delays.
8. Confidentiality
CutFlow Productions agrees to keep all client materials, communications, and project details confidential, except as required by law or with explicit written consent. We will not share, sell, or distribute your footage or project materials to third parties.
Clients agree to keep any proprietary processes, software configurations, or business methods disclosed by CutFlow Productions confidential.
9. Limitation of Liability
To the fullest extent permitted by law, CutFlow Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities arising from:
- Use or inability to use our services
- Errors, omissions, or inaccuracies in deliverables
- Unauthorized access to or alteration of your content
- Third-party content, services, or platforms
Our total liability for any claim arising from or relating to these Terms or our services shall not exceed the total amount paid by the Client for the specific project in question.
10. Indemnification
You agree to indemnify, defend, and hold harmless CutFlow Productions, its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your breach of these Terms
- Your violation of any law or regulation
- Your infringement of any third-party rights
- Any materials you provide to us for use in the project
11. Termination
11.1 Termination by Client
Clients may terminate a project at any time by providing written notice. In the event of termination, the Client is responsible for payment of all work completed up to the point of termination, including any non-refundable deposits.
11.2 Termination by CutFlow Productions
We reserve the right to terminate any project or service agreement if:
- The Client breaches these Terms
- Payment is not received as agreed
- The Client engages in abusive, threatening, or unprofessional behavior
- The project scope involves illegal, unethical, or harmful content
12. Force Majeure
CutFlow Productions shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or technical failures.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in Louisville, Kentucky, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with any signed service agreements, proposals, and our Privacy Policy and Refund Policy, constitute the entire agreement between you and CutFlow Productions regarding our services and supersede all prior agreements, understandings, and communications.
